Terms of Use

These Terms of Use ("Terms") govern your use of melchiorbio.com and any page that links to these Terms (the "Site"), operated by Melchior Bio, Inc. ("Melchior Bio," "we," "us"), a Delaware corporation. By using the Site you agree to these Terms. If you use the Site on behalf of an organization, you agree on its behalf and confirm you have authority to do so. If you do not agree, do not use the Site.

1. The Site and our products

The Site describes Melchior Bio and our platform, including Central Dogma, the RWE Agent, the GxP Agent and the rest of our Agent Fleet. Using the Site, requesting a demo (including through the demo request form) or exchanging emails with us does not create a customer relationship, oblige either of us to enter into an agreement, or give you any right to use the platform. Access to the platform is provided only under a separate written agreement signed by both parties. If that agreement conflicts with these Terms, that agreement controls.

Product descriptions on the Site are general. Some capabilities described may be in development, and features, availability and specifications may change without notice.

2. No professional or regulatory advice

Content on the Site is for general information only. It is not medical, clinical, scientific, regulatory, legal, financial or investment advice, and it is not a substitute for advice from a qualified professional about your situation.

References on the Site to regulations and standards, such as GxP, 21 CFR Part 11, EU Annex 11, HIPAA and GDPR, describe how our platform is designed. They do not mean that Melchior Bio, the platform or any customer's use of it has been certified, validated or approved by a regulator or health technology assessment body. Statements that results are reproducible, traceable or audit-ready describe platform features; the scientific validity of any study, and its acceptance by a regulator or HTA body, depends on the customer's data, design and review. Customers remain responsible for their own computerized system validation, compliance, scientific sign-off and regulatory submissions. Any demo recording or sample output on the Site is illustrative and was not produced from a customer's data. Sample visuals on the Site, including cohorts, biomarker panels and audit entries, are illustrative and are not real data or results. Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security.

3. Eligibility

The Site is intended for business professionals aged 18 or older. You may not use it if you are barred from doing so under applicable law.

4. Acceptable use

You agree not to:

  • use the Site in violation of any law or regulation, or to infringe anyone's rights;

  • probe, scan or test the vulnerability of the Site or breach its security or authentication measures, except as permitted under Section 5;

  • interfere with or disrupt the Site, including through denial-of-service attacks, malware or excessive automated requests;

  • scrape, crawl or harvest content or data from the Site by automated means, or use Site content to train, fine-tune or benchmark machine-learning models, without our written permission (standard search-engine indexing is permitted);

  • copy, frame or mirror the Site, or misrepresent your affiliation with Melchior Bio;

  • submit protected health information, patient data or other sensitive personal information through the Site; or

  • submit anything unlawful, harmful, defamatory or that you do not have the right to share.

5. Reporting security issues

If you believe you have found a security vulnerability in the Site, please report it to info@melchiorbio.com with "Security" in the subject line and give us reasonable time to fix it before disclosing it. Do not access, change or delete data that is not yours, degrade the Site, or use social engineering. We will not pursue legal action against good-faith research that follows this section.

6. Intellectual property

The Site and its content, including text, graphics, logos, interactive visuals, code and design, are owned by Melchior Bio or its licensors and protected by intellectual-property laws. "Melchior Bio," "Central Dogma," the Melchior Bio mark and wordmark, and our agent names are our trademarks, and may not be used without our written permission. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site and print or download pages for your internal business use. All other rights are reserved. Third-party names and trademarks shown on the Site, including cloud providers and data standards such as AWS, Microsoft Azure, Google Cloud, OMOP and CDISC, belong to their owners; their appearance does not mean they endorse us.

7. Feedback and submissions

When you submit the demo request form, you agree that the information you provide is accurate and is your own, or that you are authorized to provide it. We may decline or not respond to any request at our discretion. Information you submit through the form is handled as described in our Privacy Policy.

If you send us ideas, suggestions or feedback about the Site or our products, you grant us a perpetual, royalty-free right to use them without obligation to you. Do not send confidential information through the Site or by unsolicited email; unless we have signed a confidentiality agreement with you, we cannot treat such material as confidential.

8. Third-party services and links

The Site may link to third-party sites and services. We do not control them and are not responsible for their content, availability or practices. Your use of them is governed by their own terms.

9. Privacy

Our Privacy Policy explains how we handle personal information collected through the Site and forms part of these Terms.

10. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ITS CONTENT IS COMPLETE OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MELCHIOR BIO AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THESE LIMITS APPLY TO ANY THEORY OF LIABILITY AND DO NOT LIMIT LIABILITY THAT CANNOT BE LIMITED BY LAW. THEY DO NOT APPLY TO THE PLATFORM OR SERVICES PROVIDED UNDER A SEPARATE WRITTEN AGREEMENT, WHICH IS GOVERNED BY ITS OWN TERMS.

12. Indemnification

You agree to defend, indemnify and hold harmless Melchior Bio and its owners, officers, employees, contractors and agents from claims, losses, liabilities and expenses, including reasonable attorneys' fees, arising from your violation of these Terms or misuse of the Site.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to their personal jurisdiction. Before filing a claim, each party agrees to try to resolve the dispute informally by written notice for at least 30 days. Either party may seek injunctive relief to protect its intellectual property or confidential information in any competent court. Nothing in this section deprives a consumer of protections that cannot be waived under the law of the country where they live.

14. Changes and termination

We may change the Site or these Terms at any time. We will post updated Terms on this page with a new "Last updated" date; your continued use of the Site after that date means you accept them. We may suspend or end your access to the Site at any time if we reasonably believe you have violated these Terms. Sections 6, 7 and 10 through 15 survive.

15. General

These Terms, together with the Privacy Policy, are the entire agreement between you and Melchior Bio about the Site. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Headings are for convenience only.
